Supplier Code of Conduct

REN1, while accomplishing its mission of public service in the national energy sector, is committed to preserve and promote sustainable development principles, aiming to continuously create value for its shareholders and stakeholders. 

The strength of our performance is based not only on our conduct, but also on the behaviour of those with whom we maintain a relationship. For this reason, REN intends to work with suppliers, service providers and subcontractors ("Suppliers") who share those same values and principles.

Having companies in the Group certified by the norm NP 4469-1 - Social Responsibility Management System and since REN subscribes to United Nations' Global Compact. Therefore, the writing of this document was based on the 10 fundamental principles therein recommended, which focus on the areas of human rights, labour practices, environmental protection and anti-corruption policies, and which are based on universally accepted declarations.

Based on these principles, and for believing that a transparent and socially responsible relationship between a company and its Suppliers must be raised in clear and defined principles, REN developed this document aiming to communicate to all its current and future Suppliers its values as an entity which uses the market for the supply of goods and services. 

REN undertakes to guide the selection of its Suppliers by principles of equity, transparency and efficiency in the relationships it establishes, aiming to:

  • Simplify procedures and minimize the bureaucratic burden, thus eliminating unnecessary costs;
  • Pay timely, and accordingly to what has been established in the contract;
  • Promote a closer relationship with Suppliers, trying to avoid disputes, and seeking to solve them amicably, in order to avoid the use of judicial channels.
  • Scrupulously comply with the rules on conflicts of interest, prevention of money laundering and financing of terrorism and corruption.

By subscribing to this code the Supplier accepts REN's right to carry out audits, at its facilities, either under the Suppliers' Code of Conduct or under the REN Group Social Responsibility Policy (Social Responsibility Policy). 

In the event of breach of the provisions of this Suppliers' Code of Conduct or of the REN Code of Conduct by the Supplier, it will be subject to any sanctions provided for in the contractual relations established with REN, as well as to the reassessment of the terms of that relationship. 

All REN Group Suppliers undertake to comply with the principles defined in this Code of Conduct, the details of which are given below, as well as to develop the best efforts to adopt sustainability policies and to promote standards equivalent to those of this Suppliers' Code of Conduct in relation to its suppliers, service providers or subcontractors. 

The lack of Compliance with the Suppliers' Code of Conduct may result in REN terminating the relationship with the Supplier, depending on the seriousness of the violation and on the specific circumstances.

This Suppliers' Code of Conduct echoes the principles underlying the REN Code of Conduct, which is a framework element for relations between employees and other REN stakeholders, reflecting the Group's corporate culture and constituting a reference value for guiding the behaviour of its employees and all those who have dealings with REN.

This Suppliers' Code of Conduct in line with the REN Code of Conduct aims to ensure compliance with standards of conduct and ethics, which should guide a Group such as REN, and also to consolidate relationships of trust and transparency with all REN stakeholders.

By signing this code, the Supplier also undertakes to comply with the REN Code of Conduct (Code of Conduct).

Compliance

REN reserves the right to monitor Suppliers' compliance with this Code of Conduct, and Suppliers should provide REN with detailed documentation on their financial situation, business activities, structure or other relevant aspects to assess compliance with this Code, as well as make themselves available for visits or audits by REN, where necessary.

The communication of any irregularities or breaches of this Suppliers' Code of Conduct or REN Code of Conduct should be made by any Supplier in accordance with paragraph 5 of the REN Code of Conduct, addressed in writing, in paper or digital format (e-mail with restricted access: comissao.auditoria@ren.pt), to the Chairman of the Audit Committee.

Disclosure

The full acceptance of the Suppliers' Code of Conduct implies the commitment to disclose/communicate the applicable Codes and Policies to all employees involved in work for REN and to enforce compliance among them. 

Approval, revision and application

This Suppliers' Code of Conduct was approved by REN and is periodically reviewed. 

Principles of Conduct of REN

The Supplier's Code of Conduct addresses three fundamental areas of business conduct:

The applicant and potential Supplier of REN Group states its support and respect for the fundamental human rights in the workplace. REN expects its Suppliers to commit to the obedience of the Conventions of the International Labour Organisation (ILO), declaring and ensuring that its workers fully enjoy all the rights and duties defined in national legislation and International Conventions, without any restrictions. No type of abuse or violation of fundamental human rights by Suppliers is tolerated, nor any tolerance by Suppliers of any abuse or violation that they may witness. 


Prohibition of child labour. All Suppliers of REN Group undertake not to make use of child labour. Only workers older than 15 years of age shall be hired, with the guarantee that the minimum mandatory schooling age of their native countries is respected (Convention no. 182 of the ILO). If the local minimum age law stipulates a higher age for work or compulsory schooling, the higher age applies. Young people under the age of 18 shall not carry out work which, due to its nature or circumstances, may harm their health, safety or education (Convention no. 182 of the ILO).

Working hours. All Suppliers of REN Group undertake to respect at least the requirements enshrined in national legislation, national agreements and/or industry standards regarding the work schedule of their employees (Conventions nos. 1 and 47 and Recommendation no. 116 of the ILO). The provision of additional working hours shall be voluntary whenever possible, and shall not be demanded as a rule, nor may it constitute a form of replacement for insufficient regular salaries, and will always be compensated according to national laws and with what is displayed in Collective Conventions. 

Decent Wage Policy. All Suppliers of REN Group undertake to ensure that their workers receive fair and equitable salaries, allowances and other benefits, in accordance with their duties, roles and responsibilities, and at least equal to what is defined in national legislation and International Conventions (Conventions nos.94 and 95 and Recommendation no. 135 of ILO). 

Any type of inhumane treatment or threat of treatment. All Suppliers of REN Group undertake to ensure that their workers are not subject to any situation of inhumane treatment or threat of treatment, including harassment or sexual abuse, physical punishment, physical or moral coercion, or verbal abuse. 

Professional Development. All Suppliers of REN Group undertake to promote the professional development of their workers, ensuring the adequacy of their skills to the jobs performed. 

Respect for collective bargaining. REN Group Suppliers undertake to respect the freedom of association and to respect the right to collective bargaining (ILO Convention no. 154 and Recommendation no. 163). 

Prevention of situations of non-voluntary work. REN's Suppliers shall, at all times, ensure that they do not use any kind of slave or forced labour, not engaging in situations of transportation, recruitment, transfer or receipt of people through threats or fraud, nor demanding any kind of financial guarantee or original identification document that may place the worker in a situation of slave or forced labour. Suppliers shall pay special attention to vulnerable groups.

All Suppliers of REN Group undertake to comply with the obligations regarding the environment, and with occupational health and safety, by committing to ensure compliance with the legislation, regulations and requirements applicable to their activities.

Respect for the Environment. All Suppliers of REN Group undertake to identify, monitor and minimise environmental impacts resulting from their activities, products, raw materials, storage and means of transport, promoting the rational use of natural resources and energy consumption, choosing the most environmentally-friendly solution, and promoting pollution prevention. Suppliers shall also keep water consumption and atmospheric emissions within the limits established by law. Suppliers should also comply with the REN Group's internal rules on environmental criteria when acting within the scope of their contract with the REN Group.

Occupational Health and Safety. All Suppliers of REN Group undertake to ensure that relevant aspects of safety in the workplace are systematically secured and that the workplace do not represent any risk to the workers' health (Convention no. 155 of the ILO). Appropriate training in the area of safety in the workplace must be given and also the technical and human resources must be guaranteed to promote safety and prevent the risk of accidents or incidents at work, or other harmful effects on the health of workers. Continuous monitoring of the risks associated with workers' activities shall be ensured, and a plan shall be prepared for emergency situations.

Management Systems. REN expects its Suppliers to have internal controls which allow them to assess and confirm compliance with the legislation and regulations in force.

All Suppliers of REN Group undertake to guide its actions by the highest standards of individual integrity and dignity, adopting the most socially responsible behaviour at all times.

Equality of treatment and non-discrimination. All Suppliers of REN Group undertake to guide its actions by the highest standards of individual integrity and dignity, and to ensure that there shall be no discriminatory behaviour at work, so that all workers enjoy equality of opportunity and treatment, regardless of their ethnic origin, colour, nationality, gender, sexual orientation, religious beliefs, age, political opinion, social background or any other characteristic protected by law.

Ethics. All Suppliers of REN Group undertake not to offer or accept any offer (goods, money, entertainment, recreational activities), avoiding situations which may originate a conflict of interests.

Integrity and compliance with the law. All Suppliers of REN Group undertake to ensure that their workers reveal themselves as upstanding individuals whose professional performance is guided by strict moral values, such as honesty, transparency, and respect for laws, regulations and, within the scope of the business relationship with REN Group including, namely, standards applicable in relation to the treatment and protection of personal data, the fight against corruption, the separation of sector activities, competition, environment, health and safety, intellectual property rights and the prevention of money laundering and financing of terrorism.

Confidentiality. All Suppliers of REN Group must respect intellectual property, trade secrets and other confidential information, exclusive or reserved, and must not use or disclose any of that information, except for cases where REN gives permission to do so. All information or data regarding the operations of REN must be treated by the Suppliers as confidential, unless they become public.

Business integrity. All Suppliers of REN Group undertake to show respect for business integrity, without any type of bribery, corruption, extortion and the like, setting up procedures and implementing necessary and appropriate measures in order to prevent their occurrence. Suppliers shall refrain from offering free gifts, goods or services, under the terms set forth in the Code of Conduct. All businesses must be transparent and rigorously reflected in the respective records and accounts. Suppliers must inform REN of potential situations of conflict of interest.

Information Security. Suppliers of REN Group undertake to ensure the security of information to which they have access and/or produce in the context of their relationship with REN, as well as the security of all resources associated with it, whether procedural, technological or human. The necessary means for the secure management of information and support systems should be ensured, through an approach based on risk management and continuous improvement, guaranteeing the confidentiality, integrity and availability of the information.
